Terms and Conditions

These Terms were reviewed on August 2, 2026 against the current pilot pricing structure, the Applied AI engagement definitions, the Plausible-based analytics stack, the self-hosted-video marketing pattern, and the current five-engine Keystone product structure.

1. Acceptance of these Terms

These Terms and Conditions (the "Terms") govern your access to and use of the Callisto Bridge website (callistobridge.com), the Keystone application (app.callistobridge.com), any Applied AI engagement documented separately, and all associated services (collectively, the "Service"). Callisto Bridge LLC is an R&D infrastructure company, a Texas limited liability company founded in 2026 by Daniel Newland. Callisto Bridge LLC is a sister company to, and affiliated with, TechStack Consulting LLC (a separate Texas LLC); the two are distinct legal entities under common ownership.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Callisto Bridge has two commercial expressions of one R&D thesis. Keystone is a verified-asset rail for industrial supply chains, launched in industrialized construction, comprising five engines: Module Registry, Capital Rail, Disbursement Rail, Insurance Rail, and the Modular Index. Applied AI is an embedded-AI capability partnership for vertical SaaS platforms, industrial equipment OEMs, insurance MGAs, and government or institutional programs that need AI in their product but do not have an ML team. Same commercial pattern in both: Callisto Bridge builds the R&D-grade layer; the partner sells the outcome to their customers. The Service is provided on an "as available" basis and is subject to evolution as the product develops.

2A. Regulatory posture

Callisto Bridge is data and AI infrastructure. It is not a credit rating agency, MGA, broker-dealer, or money transmitter. Every regulated function connected to the Service is performed by a licensed counterparty (NRSRO-registered rating agencies for credit ratings, state-licensed MGAs for insurance binding on carrier paper, SEC-registered broker-dealers for securities placement, existing federal / state / Treasury payment rails for fund movement). Use of the Service does not create any regulated relationship between you and Callisto Bridge LLC.

3. Account registration

To access the Keystone application, you must create an account. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity occurring under your account. You must be at least 18 years of age and authorized to bind any organization on whose behalf you register.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to access workspaces, accounts, or data not belonging to you
  • Circumvent the workspace isolation, row-level security, or any other access control
  • Introduce malware, viruses, or any malicious code into the Service
  • Interfere with or disrupt the operation of the Service
  • Reverse-engineer, decompile, or attempt to extract source code, except where permitted by law
  • Use automated means to access the Service except via our published APIs
  • Resell, sublicense, or otherwise commercialize the Service without our written authorization

5. Workspace data ownership

You retain ownership of the data you submit to your workspace ("Workspace Data"). You grant Callisto Bridge LLC a limited, worldwide, non-exclusive license to host, process, transmit, and display the Workspace Data solely to provide the Service to you. Industry-aggregated data — such as the Modular Index — may be derived from Workspace Data in de-identified form that does not identify your workspace, organization, manufacturer, or project.

6. Intellectual property

The Service, including the Keystone software, the Callisto Bridge™ and Keystone™ trademarks, the Keystone patent application, the website design, the Modular Index methodology, and all related materials, is owned by Callisto Bridge LLC or its licensors. Except for the license to use the Service granted in these Terms, no rights are granted to you, by implication or otherwise.

Module-related provenance, QA, and lifecycle records belong to the workspace that submitted them. Patent rights related to underlying industrialized-construction methods (where applicable) are held by the respective patent assignees and are not part of the rights granted under these Terms.

7. Fees and billing

Certain tiers of the Service — including the Modular Index licensing tiers (Standard, Pro, Enterprise) — are paid subscriptions. Subscription fees, billing cadence, and applicable taxes are specified in a separate written agreement with the subscriber.

Design-partner pilot. The Keystone design-partner pilot provides platform access at no cost for a six-week evaluation window and bills exactly one line item: a fixed data-mapping and pilot-engineering fee, typically between $8,000 and $18,000, quoted in writing during intake before any invoice issues. Standard payment terms are 50% at kickoff and 50% on delivery of the outcome brief, net-15. During the pilot window the standard Keystone platform fees (Registry tolls, Capital Rail analytics, Disbursement release fees, Insurance pricing, and Modular Index licensing) do not accrue. Production rollout is quoted separately and only invoices under a signed production agreement. See the design-partner pilot page for the full breakdown.

Applied AI engagements. Discovery is provided at no cost. Analyze, Deploy, and Operate engagements are quoted in writing under a separate professional-services agreement. Infrastructure and model-vendor pass-through charges (e.g. compute, third-party model APIs) are billed at cost with documentation and, unless otherwise agreed in writing, are itemized separately from engagement fees.

8. Service availability

We aim to keep the Service available continuously, but do not guarantee uninterrupted access. We may suspend or restrict the Service for maintenance, security, legal, or operational reasons. We will provide reasonable notice of planned outages where practical.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (WITHOUT LIMITATION) MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

KeyScore values, pool ratings, insurance pricing, disbursement eligibility results, and all other outputs of the Service are informational. They are not financial advice, underwriting decisions, insurance quotes, or legal opinions. You are responsible for your own decisions made on the basis of Service outputs.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLISTO BRIDGE LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE FEES PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Callisto Bridge LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Workspace Data, or your violation of these Terms.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time if you violate these Terms or for legitimate operational reasons. Upon termination, the rights granted to you under these Terms cease. Provisions that by their nature survive termination (including Sections 5, 6, 9, 10, 11, 13, and 14) will continue to apply.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms shall be brought in the state or federal courts located in Texas, and the parties consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where required, by direct notice to account holders. Continued use of the Service after a change constitutes acceptance of the updated Terms.
